These Terms of Service set out the agreement between you and YunCheng TingDou E-Commerce Co., Ltd. for the use of the company website and the street canopy trade desk services described on the services page.
These Terms of Service form a binding agreement between you and YunCheng TingDou E-Commerce Co., Ltd. They apply when you visit the website, when you send a message to the desk, when you telephone the published number and when you book or attend a canopy sitting. By taking any of these steps you confirm that you have read these terms, that you understand them and that you agree to them.
If you do not agree with any part of these terms, please do not use the website and do not engage the services of the desk. If you are acting for an organisation, you confirm that you have authority to bind that organisation to these terms, and a reference to you in these terms includes that organisation.
You should read these terms together with the Privacy Policy, which explains how personal information is handled. Together they describe the whole of the agreement between you and the company for the website and the desk services, unless a separate written agreement has been signed by both parties for a particular project.
The company is YunCheng TingDou E-Commerce Co., Ltd., a company registered in China that operates a street canopy trade desk and provides computer integrated systems design support within the Professional, Scientific, and Technical Services sector. The desk is the working point at which the services described on the services page are opened, reviewed and handed over.
The address of the company is No A-17, North Chaoliu Street, Konggang South Zone, Economic Development Zone, YunCheng City - 044000, China (CN). The company may be contacted at support@tingdouecom.hair or on +15747971416 during working hours, Monday to Saturday, 09:00 to 18:00 China Standard Time.
The website and the digital tools that support the desk are maintained by TingDou Ecom, the developer name used by the company for its digital work. Where these terms refer to the company, they refer to YunCheng TingDou E-Commerce Co., Ltd. and to the staff who act on its behalf at the desk.
The company provides six services through the street canopy desk. These are Support Sheet Bays, Canopy Note Runs, Street Letter Desks, Stall Windows, Order Review Rounds and Canopy Sittings. Each service is described in detail on the services page, and these terms apply to all of them.
The company may add, change or withdraw a service from time to time. Where a change affects a matter that is already open, the desk will tell the client before the change takes effect and will explain what it means for the matter. A service shown on the stall window as held for review is not available for booking until the desk posts it as open.
The services of the desk are intended for businesses, professionals and organisations. By using the website or engaging a service, you confirm that you are at least eighteen years old, or the age of majority in your jurisdiction if that is higher, and that you have the legal capacity to enter into an agreement.
You also confirm that you are not barred by any law from using the services and that you will not use the website or the desk for an unlawful purpose. Where a client acts for a business, the client confirms that the business is properly registered and that the person who writes to the desk is authorised to do so.
The company may refuse a matter where it has a reasonable belief that the client or the matter does not meet these conditions. In that case the desk will tell the client clearly, will keep the refusal short and will, where it is able, point the client towards a more suitable source of help.
The website does not require a login and does not create an online account. A client engagement begins when the desk opens a support sheet bay for a matter. The bay carries a reference that the client may use in future correspondence, and the client is asked to keep that reference in a safe place.
The client is responsible for the accuracy of the information provided at the opening of a matter and for telling the desk promptly when something changes. Where a client provides information about a colleague or a third party, the client confirms that they have the permission of that person to do so.
The desk will act on instructions given by the person named on the support sheet, or by a person the client has authorised in writing. If the desk receives an instruction from someone whose authority is unclear, the desk will pause and ask for confirmation before acting. This protects the client as much as the company.
You may read the pages of the website and use the contact form for the purpose for which it is provided. You may not copy the pages for commercial use, republish them as your own, or present them in a way that suggests they belong to another organisation. You may link to any page of the site, provided the link is honest and does not misrepresent the company.
You may not attempt to gain unauthorised access to the website, to its server or to any system connected to it. You may not use the site to send a virus, a harmful script or a message that is designed to overload the desk. You may not use an automated tool to scrape the pages or to send messages in bulk without a written agreement with the company.
The company may suspend access to the website where it has a reasonable belief that the site is being misused. Where the suspension affects a client with an open matter, the desk will continue to handle the matter by telephone or by written correspondence so that the client is not left without a route to the desk.
When a matter opens, the desk creates a support sheet and places it in a numbered bay. The sheet records the name of the client, the date, the stock reference, the working notes and the name of the reviewer. The sheet is the primary record of the matter, and the desk relies on it when answering questions and confirming orders.
The client is entitled to a copy of the sheet on request, subject to the redactions described in the Privacy Policy. The client may ask for a correction where the sheet contains an error, and the desk will record the correction on the same sheet rather than replacing the earlier wording. This keeps the history of the matter intact and makes it possible to see what changed and when.
The desk keeps a sheet for as long as the matter is open and for a period afterwards for accountability. The client may ask for the deletion of personal information where there is no continuing reason to keep it, but the desk may retain the parts of the record that the law requires it to keep. A request for deletion does not cancel an outstanding fee or an obligation that arose before the request.
An order is confirmed only after it has passed through an order review round. The review round checks each line of the order against the stock record and the support sheet, and the second reader writes a confirmation or a query in the margin. An order that has not completed a review round is not binding on the company, even if it has been discussed at the desk.
If a review round raises a query, the desk will write to the client and explain what is missing. The client may answer by letter or at a canopy sitting. Once the query is settled, the order returns to the round and the confirmation is recorded. The desk will not confirm an order that it cannot fulfil to the standard described on the services page.
Where the client wishes to change a confirmed order, the change is recorded on the same support sheet and is subject to a further review round. The company will confirm whether the change is possible, what it will cost and when it can be delivered. A change that is not confirmed in writing does not bind the company.
The fees for a service are agreed in writing before the desk begins the work. The agreement sets out the scope of the matter, the fee, the payment terms and any condition attached to the fee. The desk does not begin work on a paid service until the client has confirmed the fee in writing.
Where a fee is quoted as an estimate, the desk will tell the client if the work is likely to exceed the estimate before the extra work is done. The client may then approve the extra work or stop the matter. An estimate is not a fixed price unless the written agreement says that it is.
Payment is due on the terms set out in the written agreement. Where a client is late in paying, the desk may pause the matter and write to the client to explain the pause. The company will not withhold a record that the client is entitled to see because of a payment delay, but it may withhold a new service until the earlier account is settled. Any tax that applies to a fee is charged in addition to the fee unless the written agreement says otherwise.
A canopy sitting is held at the desk by appointment. The client is asked to arrive a little early so that the clerk can check the support sheet and seat everyone. A sitting lasts about forty minutes and ends with a written summary that records what was discussed, what was decided and who will act next.
If a client needs to move or cancel a sitting, the desk asks for notice on the day before the appointment. Where notice is given in time, the desk will offer the next available slot without an extra fee. Where a client does not attend and does not give notice, the desk may charge a small fee to cover the time reserved, and the written agreement will state whether such a fee applies.
The desk may move a sitting where a matter of urgency requires it. In that case the desk will telephone the client as soon as it knows and will offer a replacement slot. The company will not cancel a sitting without a real reason, and it will always explain the reason in writing.
The client agrees to provide accurate information, to answer reasonable questions from the desk, and to tell the desk promptly when something changes. The client agrees to use the services for lawful purposes and to respect the staff of the desk. Abusive, threatening or dishonest conduct is a breach of these terms and may lead to the matter being closed.
The client agrees not to ask the desk to carry out work that would break the law or the rights of another person. Where a client asks for something that seems to fall into that category, the desk will explain the concern and may decline the request. A refusal is not a comment on the client, and the desk will help the client find a lawful route where one exists.
The client is responsible for keeping copies of the documents that matter to them. The desk keeps records to a high standard, but the client should not treat the desk as the only copy of a document that the client may need for another purpose, such as a tax filing or a legal dispute.
The website, its text, its layout, its illustrations and the code that runs it belong to the company and are protected by copyright and other laws. You may read the pages and print a copy for your own reference, but you may not reproduce the material for commercial use without written permission.
The records of the desk belong to the company in the sense that the company keeps them and is answerable for them, but the client retains the rights that the client had in the material before it was sent. Where a client provides a document, the client gives the company permission to use it only for the purpose of the matter, and the company will not use it for any other purpose without consent.
Where the company drafts a letter or a summary for a client, the client may use that document freely for the matter to which it relates. The company keeps a copy as part of its record, as described in the Privacy Policy, and may refer to the general method of the desk in its own materials without revealing the content of a client matter.
The desk treats the content of a client matter as confidential. Staff are instructed not to discuss a matter with anyone outside the desk, except where the client has given permission, where the law requires disclosure, or where the matter is shared with a service provider for the purpose of the service.
Where a client shares information that is particularly sensitive, the client should tell the desk at the opening of the matter so that the desk can take extra care. The desk will confirm in writing how the information will be held and who will have access. If the desk cannot offer a level of protection that the client needs, it will say so before the matter opens.
Confidentiality continues after a matter closes. The company keeps its records closed to the public and releases them only to the client, to a person the client has authorised in writing, or to a party with a legal right to them. The obligation does not cover information that is already public, that the client has made public, or that the company is required to disclose by law.
Personal information is handled as described in the Privacy Policy. These terms refer to that policy, and the policy forms part of the agreement between the client and the company. Where the policy and these terms differ on a matter of personal information, the policy prevails for that matter.
The client should read the Privacy Policy before sending personal information to the desk. The policy explains what is collected, why it is used, how long it is kept and how a person can exercise their rights. The desk will answer any question about the policy in writing so that the answer can be kept with the support sheet.
The company may use a third party to deliver part of a service, such as a hosting provider for the website or a delivery service for a letter that must travel by post. Where a third party is used, the company remains answerable to the client for the quality of the work and for the protection of any personal information that is shared.
The website may contain a link to a third party site. Such a link is offered for convenience, and the company does not control the third party site. A purchase or an agreement made with a third party is between the client and that third party, and the terms of that third party apply. The company will not be responsible for a loss caused by a third party site that the company does not control.
The company provides its services with reasonable care and skill. It does not promise that a service will be uninterrupted or free from error, and it does not promise that a particular outcome will be achieved where the outcome depends on matters outside its control, such as the conduct of another party.
To the extent permitted by the law that applies, the company is not liable for a loss that is indirect, incidental or consequential, or for a loss of profit, a loss of business opportunity or a loss of goodwill. The company is not liable for a loss caused by a client providing inaccurate information or by a client failing to follow a written instruction from the desk.
Where the law permits a limit on liability, the total liability of the company for a matter is limited to the fee paid by the client for that matter. Nothing in these terms limits a liability that cannot be limited by law, including a liability for fraud or for death or personal injury caused by negligence. If a part of this clause is found to be unenforceable, the rest of the clause continues to apply.
You agree to cover the company against a claim, a loss or a cost that the company suffers because you broke these terms, because you provided information that was false or misleading, or because you sent material that infringed the rights of another person. This obligation applies only to the extent that the claim or the loss was caused by your conduct and was not caused by the company.
The company will tell you promptly if such a claim arises, will give you a reasonable chance to respond, and will not settle the claim in a way that admits fault on your part without your agreement. The company may take its own steps to protect its position, and the costs of those steps will be covered under this clause where they were reasonable.
A client may close a matter at any time by writing to the desk. The desk will record the closure on the support sheet, confirm it in writing and explain what remains outstanding, such as a fee or a document that the client has not yet collected.
The company may suspend or close a matter where a client breaks these terms, where a client fails to pay a confirmed fee after a reasonable reminder, or where the desk cannot continue the matter for a reason that it explains in writing. The company will handle a suspension with care and will not use it to punish a client unfairly.
Where a matter is closed, the records are kept as described in the Privacy Policy. The clauses of these terms that concern confidentiality, intellectual property, liability and disputes continue to apply after the matter has closed.
If a dispute arises, the client and the company should first try to settle it by written correspondence. The desk will read the concern, review the support sheet and reply in writing with a clear position. Most disputes are settled at this stage because the record of the matter is written and open to both parties.
Where written correspondence does not settle the matter, the parties may agree to a canopy sitting with a supervisor so that the issue can be discussed in person. If a sitting does not settle it either, the dispute will be handled under the laws of the People Republic of China, and the courts of YunCheng City will have jurisdiction, unless a mandatory rule of the client jurisdiction requires otherwise.
These terms are governed by the law of China. Nothing in this clause removes a right that a consumer has under a mandatory law of their own country, and the company will not argue that such a right does not apply where the law says that it does.
The company may change these terms from time to time. When a change is made, the date at the top of the page is updated. Where the change is significant, the desk will post a short notice at the stall window and will write to clients who have an open matter so that they know what has changed.
A change applies to a matter from the date it takes effect. It does not apply retroactively to a step that was already taken under the earlier terms. If a client does not agree with a change, the client may close the matter before the change takes effect, and the desk will settle any outstanding fee on the basis of the earlier terms.
A copy of an earlier version of these terms may be requested from the desk. The company keeps a record of each version so that a client can see what applied at the time their matter opened.
If you have a question about these terms, a concern about a matter, or a request connected to an agreement, please write to the company. The desk reads every message and answers within one working day during the working week.
